1 Definition and Description

1.3 Third-party services: refers to the collective term for software or services provided by third parties that may be used or contained in this software, for which you shall abide by the relevant provisions of Article 7.2 of this agreement .
1.4 All intellectual property rights of this software, and all information related to the software, including but not limited to: text expressions and their combinations, icons, illustrations, images, charts, colors, interface design, layout framework, relevant data, additional programs , printed materials or electronic documents are owned by Zero OOH, and are protected by copyright laws, international copyright treaties and other intellectual property laws and regulations.
1.5 Some functions in this software may be provided under an open source license, and Zero OOH will provide you with this license in accordance with the requirements of the relevant open source license agreement.
2 SCOPE OF LICENSE, LIMITATIONS OF RIGHTS AND RESERVATION OF RIGHTS
2.1 Scope of License
2.1.1 You may download, install, use, display, and run this software for non-commercial operation purposes; at the same time, you may copy, distribute and disseminate this software for non-commercial operation purposes, but you must guarantee that each copy, distribution and The communication is complete and true, including all content related to this software, including but not limited to software, electronic documents, copyright information, trademarks, and the terms of this agreement.
2.1.2 If you download, install, use, and run this software for commercial operation purposes, or copy, distribute and disseminate this software for commercial operation purposes, you must obtain the written consent of Zero OOH separately.
2.2 Restrictions on Rights
2.2.1 Except as expressly permitted by laws and regulations, you may not modify any resources compiled in the program files, and you shall not make any changes to the software or the data released into any terminal memory during the running of the software, and the client and server during the running of the software. Copy, change, modify, mount or create any derivative works of interactive data on the terminal, including but not limited to using plug-ins, plug-ins or unauthorized third-party tools / services to access the software and related systems.
2.2.2 Unless expressly permitted by laws and regulations, you may not reverse engineer, reverse compile or reverse assemble this software product.
2.2.3 What you obtain according to this agreement is a license to use this software as a single product, so you may not use each part of this software separately for any purpose.
2.3 Reservation of rights
2.3.1 Other rights not expressly authorized by this agreement are still owned by Zero OOH, and you must obtain the written consent of Zero OOH before using other rights.
2.3.2 Although the software is currently provided to you free of charge, it should not be deemed that Zero OOH has waived the right to charge for the software or some specific functions or value-added services of the software. Zero OOH reserves the right to notify you at any time and charge you accordingly.
2.3.3 Zero OOH reserves the right to change, upgrade, modify, and transfer software-related functions at its sole discretion at any time. Zero OOH further reserves the right to develop new functions in the Zero OOH mobile terminal system.
2.3.4 The Zero OOH mobile terminal may be automatically updated on your device when a new version or new function is released. But at the same time, the Zero OOH mobile terminal allows you to adjust the automatic update settings by yourself.
2.3.5 This agreement still applies to the provision of all the above-mentioned new functions and software services, unless an independent agreement is attached or Zero OOH has special instructions.

7 Intellectual property rights and third-party services

7.2 Third-party services

Zero OOH does not grant you any right to use the third-party service through this agreement, nor does it provide any form of guarantee. At the same time, Zero OOH also does not guarantee that the aforementioned software or services will be permanently included or used in the software.
7.2.2 If you use the above-mentioned third-party services, you should separately enter into a service agreement with the third-party. Zero OOH does not provide any form of customer support for this third-party service. Any disputes arising from your use of the third-party service shall be resolved between you and the third-party, and Zero OOH shall not assume any responsibility.
7.2.3 You understand and agree that whether you abide by the agreement with the third party on using the service is one of the conditions for you to perform this agreement in good faith. If Zero OOH learns that the third party has confirmed that you have violated the agreement between you and the use of the third-party service, Zero OOH has the right to immediately suspend, suspend your use license or take other reasonable measures that can be taken, and No prior confirmation and verification with you is required, and Zero OOH shall not be liable for this.
8 Limitation and Disclaimer of Liability
8.1 Zero OOH shall not be liable to you for any damage of any nature caused by interruption or inoperability of the telecommunication system or the Internet, technical failure, computer error or virus, information damage or loss or other reasons beyond the reasonable control of Zero OOH or any third party shall be liable for compensation.
8.2 Although the software has been tested in detail, Zero OOH does not guarantee that the Zero OOH mobile terminal is fully compatible with all software and hardware systems, does not guarantee that there will be no interruption or error in operation, and does not guarantee that Zero OOH will correct all errors in the Zero OOH mobile terminal. defects, and there is no guarantee that the Zero OOH mobile terminal can meet all your requirements. 8.3 If the Zero OOH mobile terminal is abnormally interrupted or other technical failures are caused by Zero OOH, the only compensation you receive shall not exceed the total amount of relevant Zero OOH mobile terminal license fees that Zero OOH has charged you under this agreement , which you do not dispute.
8.4 Under no circumstances shall Zero OOH be liable to you for any delay, loss or damage of data and any indirect, incidental, special or consequential losses (including but not limited to lost profits, business interruption, loss of business information, loss of goodwill or other economic loss).
8.5 If the occurrence and consequences of hacker attack or government control or network communication paralysis cannot be foreseen, both parties confirm that this is force majeure; both parties should negotiate to decide whether to terminate this agreement, exempt To perform part of the obligations of this agreement, or to postpone the performance of this agreement.
8.6 You understand and agree that if you are dissatisfied with any part of the software or any part of the terms of this agreement, the sole and complete solution you can take is to stop using the software.
9 Termination of Agreement
9.1 In the event of any of the following situations, Zero OOH has the right to immediately terminate the Zero OOH mobile software license granted to you without any liability:
9.1.1 You violate the terms of guarantee, agreement, and promise of this agreement or the Zero OOH mobile terminal usage rules published by Zero OOH;
9.1.2 You violate the terms, agreements, rules, notices and other relevant regulations of the Zero OOH website and / or its affiliated company website, and the service is terminated by any of the above websites;
9.1.3 You have committed other violations of laws or contracts or serious violations of public order and good morals, and Zero OOH unilaterally deems that your license should be terminated immediately.
After you receive the notice from Zero OOH to terminate the use license of the Zero OOH mobile terminal, you should immediately delete the Zero OOH mobile terminal software and backups on all of its devices; if you continue to use the Zero OOH mobile terminal, Zero OOH has the right to pursue your Tort Liability.
9.2 In one of the following situations, Zero OOH has the right to notify you 30 days in advance of the termination of the agreement in Japan upon the expiration of the notice:

9.2.3 Other matters deemed necessary by Zero OOH.
If this agreement is terminated due to the above circumstances, Zero OOH will no longer provide you with Zero OOH mobile terminal services.
9.3 You can terminate the use of the Zero OOH mobile terminal and terminate this agreement without notifying Zero OOH, but you should destroy all documents related to the Zero OOH mobile terminal or provided by Zero OOH within 3 natural days from the date of termination of this agreement. 10Applicable Laws, Rules and Dispute Resolution

10.2 When you log in to your Zero OOH account to use the relevant functions of this software, you shall also abide by the relevant agreement in the "Zero OOH Website Terms of Service" reached between you and Zero OOH.
10.3 In the event of any dispute between the two parties regarding the signing, performance or interpretation of this agreement, the two parties shall endeavor to resolve it through friendly negotiation. If the negotiation fails, either party has the right to sue in the people's court where Zero OOH is located.

11.1 Zero OOH has the right to transfer all or part of the rights and obligations in this agreement to affiliated companies through written notifications (including email notifications, webpage announcements, pop-up notifications, etc.).
11.2 The title of this agreement is only set for the convenience of reading, not to define, limit, interpret or describe the scope or boundaries of the terms.
